This License Agreement ("Agreement") is made between VoicePal Labs Ltd ("Application") and you, the user ("Licensee"), collectively referred to as "Parties".
VoicePal hereby grants the Licensee a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application for personal, non-commercial purposes as set forth in this Agreement.
Licensee agrees not to, and will not permit others to: a. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Application. b. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application.
VoicePal retains all rights, title, and interest in and to the Application, including all related intellectual property rights. The Licensee acknowledges that no rights are granted to them except for the limited license provided under this Agreement.
The Licensee grants VoicePal a license to use the intellectual property rights in the content of any audio logs and related data created by the Licensee using the Application.
The Application is provided "as is," with all faults and without warranty of any kind. VoicePal hereby disclaims all warranties with respect to the Application, whether express, implied, or statutory.
In no event shall VoicePal be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from the Licensee's use of the Application.
This Agreement is effective until terminated by either party. The Licensee's rights under this Agreement will terminate automatically without notice from VoicePal if the Licensee fails to comply with any of its terms.
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. The Parties agree to submit to the exclusive jurisdiction of the courts located within the United Kingdom to resolve any legal matter arising from this Agreement.
VoicePal reserves the right, at its sole discretion, to modify or replace this Agreement at any time.
